Legal — plain language
These are the terms under which Marapone Contracting Inc. provides services. We've written them in plain language. If something is unclear, email us — we'd rather explain it than have a dispute about it later.

01 — Parties
"Marapone," "we," "us," or "our" refers to Marapone Contracting Inc., a company incorporated in Canada, operating from Canada and Italy.
"Client," "you," or "your" refers to the business or individual who engages Marapone for services by agreeing to a project scope and making payment.
By engaging our services — whether through a signed proposal, email confirmation, or initial deposit payment — you agree to these Terms of Service in full.
02 — Services
Marapone sells four things: licensed software products that are already built, data packs — reference libraries sold as files, with no software attached — custom AI builds scoped to a client, and one subscription: the MaraponeAI mobile application. The first three are private and locally deployed and are sold once. The mobile application is a hosted service billed monthly or yearly, and it is treated separately throughout these terms for that reason — the paragraph headed "The mobile application" below sets out exactly how it differs. Offerings include but are not limited to:
The exact scope of each engagement is defined in a written project proposal or scoping document agreed upon before work begins. No work outside the defined scope will be carried out without a separate written agreement and pricing confirmation.
The programs. Blueprint Auditor, SpecChecker, the AI Estimator, the Bid Leveler and ScopeGuard are provided as a subscription to a hosted service, not as licensed copies of software. A plan grants a non-exclusive, non-transferable right to use the programs it covers, for the number of named seats stated on that plan, for as long as the subscription is paid. There is no installer, no licence key and no source-code delivery, because there is no copy that changes hands. Three consequences follow, and we would rather state them here than have you discover them: a document you process is uploaded to our infrastructure to be processed; the programs require a network connection; and access ends when the subscription does. What we commit to in exchange is set out in section 13 — your files go to our infrastructure and no further, each account is processed in its own isolated workspace, the language model in the path is our own rather than a third-party AI vendor's API, and nothing you upload is used to train any model. Sharing one seat between people, or reselling access, is not permitted.
Billing, changes and cancellation. Plans are billed monthly or yearly in advance at the price shown at checkout, plus applicable tax. You may cancel at any time from your account; cancellation stops the next renewal and access continues to the end of the period already paid for. Upgrading takes effect immediately and is prorated; downgrading takes effect at the end of the current period. Where we change a price, existing subscribers keep their existing price for twelve months from the date of the change, and we will tell you before it takes effect.
Your work, and getting it out. The material you upload and the output the programs produce for you remain yours. You may export your projects and their output at any time while a subscription is live, in the formats the programs provide, and you may ask us for an export after cancellation. We will delete your material on written request. Nothing you produce is held hostage to keep a subscription running.
The mobile application. The MaraponeAI mobile application for iOS and Android is the same hosted service reached from a phone, covered by the same plan and the same terms. There is no separate mobile subscription and no additional charge. Where a subscription is purchased through the Apple App Store or Google Play, that store is the merchant of record for it and its own billing, refund and cancellation rules apply to that transaction.
Seats. A seat is a named individual, not a concurrent session or a device. One seat may be used by that person on as many machines as they like — an office desktop, a laptop and a phone — but may not be shared between people or passed around a team. Seats may be reassigned when someone leaves.
Release timing. The mobile application is targeted for release in Q4 2026. As a forward-looking statement about unreleased software, that date is a target and not a contractual commitment. No part of a plan price is attributed to the mobile application, and no subscription is contingent on it shipping — a plan is priced for the programs available in the browser today, and the app is included when it arrives.
Data packs. A data pack is a set of files — PDF, CSV and JSON — and nothing else. There is no application, no installer, no licence key and no source code, because there is no software to hand over. On payment you receive a perpetual, non-exclusive right to use the files for your own and your clients' work, without seat limits, and to copy their contents into your own spreadsheets, scripts and internal systems. What is not permitted is reselling a pack, redistributing it outside your organisation, or republishing it as your own product or dataset. Packs are sold as one-time purchases at a fixed price plus applicable tax, independently of any plan: a pack needs no subscription to open and is unaffected if a subscription ends. What is described on the pack's page is what is delivered.
Pack delivery. Packs are delivered by email to the address used at checkout. Where a pack does not yet have an automated download link, delivery is by hand and is stated on the confirmation page as a defined window rather than as an instant download. A pack is delivered when that link reaches you, not when payment clears.
Plan credit. The amount paid for a data pack is credited against your first plan invoice if you start a subscription within 60 days of the pack purchase. The credit applies once, is not transferable and is not redeemable for cash. Requesting a refund on the pack ends the credit.
Updates. Bundled reference data — municipal fee schedules, development charges, code references and cost catalogs — reflects the rates current at the time of purchase and is fully editable, in-app for the software products and directly in the files for a data pack. For a data pack, we are not obliged to supply future editions as part of the purchase price. For the programs, the reference data included with your plan is updated as new editions are produced, at no additional charge. Where a pack is sold as a dated edition, that edition is what you have bought: a later edition is a separate purchase and not a free update, so that you can always tell how current your figures are.
Reference data is not advice. Rate tables, code references, tax and fee figures in the products and packs are costing inputs carrying the citation they were drawn from. They are provided for you to verify against the current official source before relying on them. They are not legal, tax or professional advice, and they do not replace the judgement of a qualified professional.
03 — Engagement
A subscription needs no engagement process: you create an account, choose a plan, and pay through Stripe. Custom build work is different — it begins with a discovery call, during which we evaluate your document types, infrastructure requirements, and project scope. Following this, we issue a written proposal outlining deliverables, timeline, and total price.
Free trial: New accounts may start one free trial of the Field plan, lasting 7 days. A trial requires a Marapone account and a valid payment method held by Stripe; no charge is made during the trial period. Unless you cancel before the trial ends, the subscription continues automatically and the first payment is taken on the day after the last free day, at the plan price then shown on this site, plus tax for your jurisdiction. You may cancel at any point during the trial from your account dashboard, in which case nothing is charged. One trial per account; the offer is limited to accounts that have not previously held a subscription, and we may decline or withdraw it at our discretion.
An engagement is formally confirmed when the client:
We keep our active project load intentionally small to ensure every engagement is completed to the highest standard. Confirmation of your engagement secures your place in the build queue. Until the deposit is received, we cannot guarantee availability.
04 — Payment
A deposit of 10%–50% of the total project fee is required before any build work begins. The remainder is due upon final delivery and handover of all deliverables.
Deposit percentage: The required deposit varies based on the scale, complexity, and hardware requirements of the project. Smaller or lower-complexity engagements — a customised setup, or a single-workflow build — typically require a deposit in the 10%–35% range. Larger or infrastructure-heavy engagements — an enterprise integration, or any build involving custom server or GPU configurations — typically require a deposit in the 25%–50% range. Finished software products are paid in full at checkout and carry no deposit, because there is nothing to scope. The exact deposit amount will be stated clearly in your project proposal before you are asked to pay anything.
Hardware costs and the deposit: Marapone maintains its own hardware and software infrastructure for building, training, and testing AI systems on our end. However, if your project requires specific client-side hardware — such as dedicated servers, networking equipment or an isolated environment — those costs are handled as follows:
No surprise costs: All hardware requirements and associated costs are identified and disclosed in the project proposal before you commit. If unforeseen hardware needs arise during a build, we will notify you immediately, provide a written cost estimate, and will not proceed with any additional spend without your written approval.
Mobile subscriptions: The mobile application is sold on a monthly or yearly term at the tier prices published on the mobile app page. It is billed by Apple or Google, not by us: the charge is made to the payment method on your App Store or Google Play account, that store is the merchant of record, and it collects and remits the tax for your territory. Published subscription prices are the Canadian figures; each store converts and charges in your own currency at its published rate for your territory, so the price shown in the store at the point of purchase is the price you pay. Subscriptions renew automatically at the end of each term unless cancelled beforehand, and each renewal is charged at the then-current price for your tier. We will give at least 30 days' notice, in the app and by email, before any price increase takes effect on an existing subscription. Yearly terms are billed at ten months of the monthly rate. No deposit, invoice or purchase order applies to a mobile subscription.
First-month discount: A 10% discount is applied to the first monthly payment of a plan subscription started on a new account. It is available once per account and only to an account that has never previously held a subscription, whether that subscription was cancelled, lapsed or is still running; taking a free trial first does not forfeit it. It applies to monthly billing only — a yearly term is already charged at ten months of the monthly rate — and it is applied automatically at checkout, with no code required. It reduces the first payment only; every subsequent renewal is charged at the then-current price for your plan. It cannot be combined with another promotional code on the same payment, and it does not apply to data packs, custom builds, enterprise integrations, or to subscriptions purchased through the Apple App Store or Google Play, where that store sets the price and any promotion.
Invoicing: Invoices are issued electronically. The deposit invoice is issued upon proposal acceptance. The final invoice is issued upon delivery of all deliverables. Payment is due within 14 days of invoice date unless otherwise agreed in writing.
Late payment: Invoices unpaid after 30 days from the due date may incur a 1.5% monthly interest charge on the outstanding balance. We will contact you before applying any late fees.
Accepted payment methods: We accept Visa, Mastercard, American Express, PayPal, Interac e-Transfer, business cheque, and bank wire transfer. All prices are in Canadian dollars (CAD) unless otherwise specified in writing.
Taxes (HST): All prices quoted are subject to applicable taxes. Harmonized Sales Tax (HST) at a rate of 13% will be applied to all invoices issued to clients in Ontario, Canada, in accordance with the Excise Tax Act. The HST amount will be itemised separately on your invoice. Clients located outside Ontario or outside Canada may be subject to different tax treatment; this will be confirmed in your project proposal.
05 — Deliverables
Upon completion of a custom build and receipt of the final payment, Marapone will deliver:
What a build fee buys is the work of building it, not a copy of it. Marapone retains the source code and the model weights and runs the program for you; your documents and everything the program produces from them remain yours, exportable at any time. A tuned model built for you is not used to serve any other customer.
Data packs. The list above describes a custom build. A data pack purchase delivers the files themselves and nothing further, because there is nothing to install and nothing to run. Its terms are set out in section 02.
Platforms. The programs run in a current browser on Windows, macOS, Linux, iOS and Android. A seat covers every platform; there is no per-platform fee and no separate charge for using the same seat on a desktop, a laptop and a phone.
What a plan does and does not survive. Everything a plan gives you is access to a hosted service, not a copy of software: there is no source code, no model weights and no installer, because nothing runs on your device. That access depends on Marapone continuing to operate the service. What does not depend on us is your own material: the documents you upload are yours, everything the programs produce for you exports on demand in formats that open elsewhere, and a data pack you have bought is a file that keeps working whatever happens to us. Section 13 sets out what we commit to if the service is ever discontinued.
06 — Intellectual Property
Your deliverables: Upon full payment, all custom code, trained model weights, and associated documentation produced specifically for your project are assigned to you in full. You own them unconditionally. You may modify, distribute, sell, or repurpose them without restriction or further payment to Marapone.
Your documents: All documents, data, and materials you provide to Marapone for the purpose of model training or analysis remain your property at all times. We do not claim any rights to your business data.
Our pre-existing tools and methods: Any general tools, frameworks, internal processes, or methodologies that Marapone uses to build your system — and which were not created specifically for your project — remain Marapone's property. These are the underlying skills and infrastructure we bring to every build, not client-specific deliverables.
07 — Confidentiality
We treat all client information — business documents, project details, pricing, internal workflows, and communications — as confidential. We do not share, sell, publish, or disclose any client information to third parties without your express written consent, except where required by law.
Documents you provide for model training are used solely for the purpose of building your AI system. They are processed on our secure local hardware during development, not uploaded to cloud services or external APIs, and are deleted from our systems upon project delivery.
We will not reference you as a client in marketing materials or case studies without your explicit written permission.
Non-legitimate or improper file submissions: Any file or attachment submitted through our contact form or by any other means that is determined to be fabricated, fraudulent, malicious, non-business-related, or otherwise submitted in bad faith will be discarded immediately and permanently. Such submissions are never reviewed, retained, or responded to. We reserve the right to block repeat offenders from submitting further requests.
If either party requires a formal Non-Disclosure Agreement (NDA) prior to the discovery process, we are happy to execute one. Contact us to arrange this before sharing any sensitive materials.
08 — Guarantee & Warranty
Plan availability: The programs your plan covers are available on payment and stay available for as long as the subscription is paid. We aim for continuous availability but do not warrant uninterrupted service; where an outage prevents meaningful use for a sustained period, tell us and we will credit the affected time.
Plan cancellation: There is no refund on a plan payment. You may cancel at any time from your own dashboard, with no notice period and no exit interview; cancelling stops the next renewal and access runs to the end of the period already paid for. Exports you have already taken are unaffected by cancellation.
Data packs are not refundable. A pack is delivered as files the moment payment clears, and a file that has been downloaded cannot be un-copied — so there is no refund once a pack has been made available to you. In exchange the files are unconditionally yours: no licence key, no expiry, no subscription needed to open them, usable on any device and with any software you like. If a pack is materially wrong or does not match what this site described, tell us and we will correct it or make it right.
Mobile subscriptions: Because Apple and Google are the merchants of record for a subscription bought through their store, cancellation and any refund request for it are handled through that store, under that store's policy, not ours — we cannot issue or refuse them. If a store declines a request you believe is fair, email us and we will take it up with them or make it right directly. Where you subscribe directly through this site rather than through a store, the plan cancellation terms above apply.
Defects: If a program fails due to an error on our side — a bug in our code, a broken module, or output quality below what we demonstrated — we will fix it at no charge, with no timeline haggling. Fixes reach every subscriber when they ship; there is no version for you to upgrade to.
What is not covered at no charge: New features, integrations into your own systems, and work specific to your documents or workflow are not defects. These are quoted separately, transparently, and fairly.
We make no warranties — express or implied — that the AI system will catch 100% of all errors in every document. No AI system can. We warrant that it will perform at or above the level the programs demonstrably reached on your own documents during your trial or the final walkthrough of a build.
09 — Cancellation
Client cancellation before build begins: If you cancel after paying a deposit but before any substantive build work has started, we will refund the deposit in full minus any hardware that has already been procured on your behalf (which remains yours).
Client cancellation mid-build: If you cancel after build work has commenced, Marapone will invoice for work completed to date at a pro-rated rate based on project milestones. Any portion of the deposit not consumed by completed work will be refunded. Hardware already procured is yours to keep or return; it cannot be refunded by Marapone once ordered.
Cancelling a plan: You cancel from your own account page, or in the App Store or Google Play settings if you subscribed there — at any time, with no contract, minimum term, notice period or cancellation fee. Cancelling stops the next renewal; the subscription keeps working to the end of the term you have already paid for, and is not pro-rated. When it lapses the programs stop opening, but your projects are not deleted — see section 13 for how long they are kept and how to export them before or after.
Marapone cancellation: We reserve the right to cancel an engagement if the client fails to provide necessary materials within a reasonable timeframe, fails to make payment, or behaves in a way that makes the engagement untenable. In this case, we will refund any portion of the deposit not yet consumed by completed work.
10 — Liability
Marapone's total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.
Marapone is not liable for indirect, incidental, consequential, or punitive damages — including but not limited to loss of business, loss of profits, project delays, or downstream regulatory consequences — even if we have been advised of the possibility of such damages.
You are responsible for verifying all AI-generated outputs before acting on them. Our systems are decision-support tools, not legal, financial, or engineering authorities. Final decisions and their consequences remain with you and your team.
11 — Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
If a dispute arises, we strongly prefer to resolve it directly and in good faith before involving any formal process. Contact us first at general@marapone.com — most disagreements can be resolved with a direct conversation.
If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Toronto, Ontario under the rules of the ADR Institute of Canada, unless both parties agree otherwise in writing. The language of arbitration shall be English.

13 — The Mobile Application
This section applies to everything you reach with a plan — the programs in the browser and the MaraponeAI mobile application alike. Both are the same hosted service, and the data handling described here is the same on either.
Documents you process in the mobile application are uploaded to Marapone-operated infrastructure, because that is where the engines run. They go there and no further. We do not use your documents to train any model, we do not disclose them to any third party, and no third-party AI provider is in the processing path.
Your account and your data. Each account is processed in its own isolated workspace. Your files, projects, estimates and history remain your property at all times and we claim no rights in them; the licence you grant us is only the one we need to run the service you asked for — to store, process and display your content back to you. You can export your projects to PDF, Excel and CSV at any time while your account is active.
Retention after you stop paying. If a subscription lapses or is cancelled, your projects are retained for 90 days, during which resubscribing restores everything and you can still request an export. After 90 days they are deleted. You can ask us to delete your account and its contents sooner, at any time, and we will do so within 30 days. Deletion is deletion, not deactivation.
The in-app assistant. The assistant answers two things: how to use the application, and questions about your own projects and documents. It is given your account's workspace and no other, so it cannot reach another customer's data. It is a decision-support tool: it can be wrong, and section 10 applies to anything it produces exactly as it applies to every other output.
Availability. The service is provided without a contractual uptime guarantee. We will give advance notice of planned maintenance where we reasonably can. If the service is unavailable for an extended period through our fault, contact us and we will credit or refund the affected part of your term. Processing times depend on your connection and the size of your files as well as on our infrastructure.
Acceptable use. You may only upload files you own or are authorised to share, and you are responsible for holding any consent required to put a third party's drawings, quotes or personal information into the service. You agree not to upload malware or unlawful content, to attempt to reach another account's workspace, to probe or overload the infrastructure, to resell access, or to share one set of credentials across more people than your tier provides seats for. We may suspend an account for any of these, and will tell you why and give you a route to export your data unless doing so is unlawful.
Changes to the service. A hosted service changes; a delivered desktop copy does not. We may add, alter or remove features in the mobile application. If we materially reduce what a paid tier provides, or discontinue the service altogether, we will give at least 90 days' notice by email and in the app, keep exports working throughout that period, and refund the unused remainder of any term you have paid for. This is the honest limit of a hosted service: what survives us is what you have exported, which is why export is available at any time and without asking.
Where documents may not leave your premises. If your obligation is that project documents never leave your own infrastructure, a plan cannot meet it and we will say so rather than sell you one. Deployment into your own cloud tenant is available as an enterprise arrangement; ask before subscribing.
14 — Changes to These Terms
We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top of this page. Material changes will be communicated by email to active clients.
Continued use of our services after an update constitutes acceptance of the revised Terms. The Terms in effect at the time your project proposal was accepted govern your specific engagement, not later revisions.
